Terms of Service
SidLabs Ventures Private Limited (“SidLabs”, “we”, “us”, or “our”)
These Terms of Service apply to your use of sidlabs.in and, where applicable, to your engagement with SidLabs Ventures Private Limited.
SidLabs designs and facilitates conversation-based programmes for organisations, including Guftagoo Works and other programmes in our corporate catalogue. Specific engagements are agreed separately with each client and may be governed by a proposal, statement of work, purchase order or other written agreement (“Engagement Agreement”).
Where an Engagement Agreement contains terms that are specific to that engagement, those terms will prevail over these Terms of Service to the extent of any inconsistency.
1. Our services
SidLabs provides conversation-based learning, development and organisational programmes, including facilitated workshops, sessions, programmes, advisory support and related materials.
The scope, format, duration, participants, deliverables, fees and other commercial terms for an engagement will be agreed separately with the client and confirmed in the applicable Engagement Agreement.
Information presented on this website is provided for general information about SidLabs and its services. We may update, modify or discontinue website content or services from time to time.
2. Formation of an engagement
Contacting SidLabs through the website, email or other channels does not by itself create an obligation for SidLabs to provide services.
An engagement becomes binding when the relevant proposal, statement of work, purchase order or other applicable agreement has been accepted or otherwise confirmed by both parties.
Unless expressly agreed otherwise in writing, these Terms of Service apply alongside the applicable Engagement Agreement.
3. Client responsibilities
The client is responsible for:

providing SidLabs with information reasonably required to deliver the engagement;

ensuring that information provided to SidLabs is accurate and not misleading;
-
ensuring that participants are appropriately informed about the nature and purpose of the programme;

providing any agreed venue, technology, access, participant information or other logistical support required for delivery; and
-
ensuring that its representatives and participants behave appropriately during facilitated sessions.
SidLabs may rely on information and materials provided by the client when designing or delivering an engagement.
Where circumstances outside SidLabs' reasonable control materially affect delivery, SidLabs and the client will work in good faith to agree an appropriate adjustment to the schedule, format or scope.
4. No guaranteed outcomes
SidLabs' programmes are designed to build awareness, capability, habits and organisational capacity over time.
While our work draws on established research, professional experience and learning from real organisational contexts, SidLabs does not guarantee any particular outcome, behavioural change, business result or organisational impact for any individual, team or organisation.
Outcomes may depend on factors including participation, leadership support, organisational culture, implementation, follow-through and circumstances outside SidLabs' control.
Any examples, case studies, observations or expected benefits communicated by SidLabs are illustrative and should not be treated as guarantees of future results.
5. Intellectual property
All intellectual property owned or developed by SidLabs before or independently of a particular client engagement remains the property of SidLabs.
This includes, without limitation:

the Guftagoo Works framework;

the six-territory framework;
-
programme structures and methodologies;
-
session designs;
-
facilitator guides;
-
decks and presentations;
-
exercises, tools and templates;
-
written and visual materials;
-
training and facilitation techniques;
-
concepts, know-how and underlying methods; and
-
related copyrights, trademarks and other intellectual property rights.
Unless expressly agreed otherwise in writing, payment for an engagement does not transfer ownership of SidLabs' intellectual property to the client.
Where materials are provided to a client as part of an engagement, SidLabs grants the client a limited, non-exclusive, non-transferable licence to use those materials for the client's internal purposes in connection with the engagement.
The client may not, without SidLabs' prior written permission:

reproduce or distribute SidLabs materials beyond the permitted internal use;

sell, licence, publish or commercially exploit the materials;
-
provide the materials to third parties for their independent use;
-
remove copyright, attribution or other proprietary notices;
-
use the materials to create or deliver a competing programme; or
-
represent SidLabs' materials, frameworks or methodologies as its own.
Any broader licence or transfer of intellectual property must be expressly agreed in writing.
6. Client materials and feedback
The client retains ownership of materials, information and intellectual property that it provides to SidLabs for the purposes of an engagement.
The client grants SidLabs the limited right to use such materials solely to the extent reasonably necessary to deliver the engagement.
Unless otherwise agreed in writing, SidLabs may use general, non-confidential learnings, insights and feedback arising from an engagement to improve its programmes and services, provided that such use does not identify the client or disclose its confidential information.
7. Confidentiality
SidLabs treats information shared with us in connection with an engagement, including information shared during facilitated sessions, as confidential and uses it only for purposes connected with the engagement, subject to these Terms and our Privacy Policy.
Confidential information does not include information that:

is or becomes publicly available other than through a breach of confidentiality;

was already lawfully known to the receiving party;
-
is independently developed without use of the confidential information;
-
is lawfully received from a third party without a duty of confidentiality; or
-
is required to be disclosed by law, regulation, court order or other lawful authority.
Where disclosure is legally required, SidLabs will, where legally permitted and reasonably practicable, provide appropriate notice to the affected party.
The handling of personal information is additionally governed by SidLabs' Privacy Policy.
8. Payment, scheduling and cancellation
Fees, payment schedules, taxes, scheduling, rescheduling and cancellation terms are agreed separately for each engagement and set out in the applicable Engagement Agreement.
Unless otherwise agreed in writing, the client remains responsible for fees and other amounts properly due under the applicable Engagement Agreement.
If the client fails to make a required payment, SidLabs may suspend delivery of services until the outstanding amount is resolved, subject to the terms of the applicable Engagement Agreement.
9. Suspension and termination
Either party may terminate an engagement in accordance with the termination provisions contained in the applicable Engagement Agreement.
Where an Engagement Agreement does not contain specific termination provisions, either party may terminate the engagement where the other party materially breaches its obligations and fails to remedy that breach within a reasonable period after receiving written notice.
SidLabs may suspend or terminate an engagement where continued delivery would be unlawful, unsafe, materially impracticable or reasonably likely to cause serious harm to SidLabs, its facilitators or participants.
Termination does not affect rights or obligations that accrued before termination, including payment obligations and provisions relating to intellectual property, confidentiality and liability.
10. Limitation of liability
To the maximum extent permitted by applicable law, SidLabs will not be liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, business opportunity, goodwill or anticipated savings arising from or relating to an engagement.
To the maximum extent permitted by applicable law, SidLabs' aggregate liability arising out of or in connection with a particular engagement will not exceed the total fees actually paid or payable to SidLabs under that engagement.
Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited under applicable law.
11. Third-party services and links
SidLabs may use third-party platforms, tools or services in connection with its website or programmes.
SidLabs is not responsible for the availability, security, content or performance of third-party services that are outside our reasonable control.
Our website may contain links to third-party websites for convenience or information. Such links do not constitute an endorsement or guarantee by SidLabs, and your use of those websites is subject to their own terms and policies.
12. Website availability and information
We aim to keep sidlabs.in accurate and available, but we do not guarantee that the website will always be uninterrupted, error-free, complete or current.
Website content is provided for general informational purposes and should not be treated as professional, legal, financial, medical or other specialised advice unless expressly stated otherwise.
13. Changes to these Terms
SidLabs may update these Terms of Service from time to time.
The updated version will be published on this website with a revised “Last updated” date. Changes will apply prospectively to use of the website and, where appropriate, to engagements entered into after the updated Terms take effect.
Specific contractual terms already agreed with a client will continue to be governed by the applicable Engagement Agreement.
14. Governing law and jurisdiction
These Terms are governed by the laws of India.
Subject to any dispute-resolution provisions contained in an applicable Engagement Agreement, the courts in Gurugram, Haryana will have jurisdiction over disputes arising out of or relating to these Terms or the use of our services.
15. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
